Affiliatly Affiliate Program: Terms of Service Agreement

This Agreement (“Agreement”) is entered into by and between Big Sun, located at 4311 27th Street, Vernon, BC (“Merchant” or “Company”), and the affiliate participant (“Affiliate” or “You”) who has registered to participate in the Affiliatly Affiliate Program (“Program”).

By signing up for or participating in the Affiliatly Affiliate Program, you agree to be bound by the terms and conditions of this Agreement.

1. Program Overview

The Affiliatly Affiliate Program is designed to allow Affiliates to promote Big Sun’s products/services and earn commissions for referring customers who make a purchase through a special affiliate link.

2. Affiliate Account and Eligibility

To participate in the Program, you must:

• Complete the registration process through the Affiliatly platform.
• Be at least 18 years old or have parental consent if required in your jurisdiction.
• Provide accurate and complete information when signing up.

The Merchant reserves the right to accept or reject any Affiliate application at its sole discretion.

3. Affiliate Responsibilities

As an Affiliate, you agree to:

• Not engage in fraudulent activities, including misleading, false, or deceptive advertising or marketing.
• Comply with all relevant laws, regulations, and guidelines.

4. Commissions

• Commission Rate: Affiliates will receive a commission of 5-15% of the sales generated through their unique affiliate links.
• Commission Payment: Payments will be made via e-transfer or Big Sun Gift Card.
• Minimum Payout Threshold: Commissions will be paid once the Affiliate’s account reaches a minimum of $50 in earnings.
• Refunds and Cancellations: If a referred customer cancels or requests a refund for a product or service, the Affiliate will not earn a commission on that sale.

5. Tracking and Reporting

The Affiliate will have access to the Affiliatly dashboard, which provides real-time tracking of clicks, sales, and commissions. The Merchant is not liable for discrepancies in tracking due to technical issues outside its control.

6. Term and Termination

• Term: This Agreement will remain in effect until terminated by either party.
• Termination by Merchant: The Merchant may terminate this Agreement at any time, for any reason, with or without cause, by providing written notice to the Affiliate.
• Termination by Affiliate: The Affiliate may terminate this Agreement by ceasing to promote the Merchant’s products/services and notifying the Merchant in writing.

7. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information, including but not limited to, sales data, marketing strategies, and customer details, obtained during the course of this Agreement.

8. Limitations of Liability

The Merchant shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the Affiliate’s participation in the Program or any technical issues, loss of earnings, or failure to track sales.

9. Independent Contractor Relationship

The Affiliate is an independent contractor and not an employee, partner, or joint venture of the Merchant. The Affiliate is solely responsible for any taxes, including income tax, arising from the commissions earned.

10. Amendments

The Merchant reserves the right to modify or amend the terms of this Agreement at any time. Any changes will be posted on the Affiliatly platform or communicated via email. Continued participation in the Program after any changes will constitute acceptance of the new terms.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.

By signing up for the Affiliatly Affiliate Program, you acknowledge that you have read, understood, and agree to the terms and conditions outlined in this Agreement.
