Affiliate Program Agreement & Terms of Service

Effective Date: 2026-08-07

This Affiliate Program Agreement and Terms of Service (“Agreement”) governs participation in the My Jewish Ads Affiliate Program (“Program”).

The Program is operated by [INSERT FULL FLORIDA LEGAL COMPANY NAME], a company organized under the laws of the State of Florida, doing business as My Jewish Ads (“Company,” “My Jewish Ads,” “we,” “us,” or “our”).

Any person or business accepted into the Program is referred to as an “Affiliate.”

By applying to, registering for, accessing, or participating in the Program, Affiliate acknowledges that Affiliate has read, understood, and agrees to be legally bound by this Agreement.

1. Purpose of the Program

The My Jewish Ads Affiliate Program allows approved Affiliates to promote and sell eligible advertising packages offered through My Jewish Ads.

Advertising may include digital advertising displayed on tabletop devices located within participating restaurants and other approved advertising locations.

Affiliates may earn commissions on qualifying sales that are properly attributed to their Affiliate account.

2. Eligibility

To participate, an Affiliate must:

Be at least 18 years old or the age of legal majority in their jurisdiction;
Have the legal capacity to enter into this Agreement;
Provide accurate registration and payment information;
Provide applicable tax documentation when requested;
Comply with applicable laws and regulations; and
Be approved by My Jewish Ads.

My Jewish Ads reserves the right to approve or reject any Affiliate application at its discretion, subject to applicable law.

3. United States and Canadian Affiliates

The Program is available to approved Affiliates located in the United States and Canada.

Affiliates are responsible for complying with all laws applicable to their activities based on where they operate, where prospective customers are located, and the methods they use to market or promote My Jewish Ads.

Where mandatory federal, state, provincial, territorial, or local laws conflict with a provision of this Agreement, those mandatory laws will apply to the extent legally required.

4. Independent Contractor Relationship

Affiliate participates in the Program as an independent contractor.

Nothing in this Agreement creates or will be interpreted as creating an:

Employer-employee relationship;
Partnership;
Joint venture;
Franchise;
Agency relationship; or
Legal representative relationship.

Affiliate is not an employee of My Jewish Ads and is not entitled to wages, salary, overtime, vacation pay, unemployment benefits, workers' compensation benefits, health benefits, retirement benefits, or other employee benefits from My Jewish Ads.

Affiliate generally determines their own:

Working hours;
Work location;
Sales schedule;
Sales methods;
Business expenses; and
Level of participation in the Program.

Affiliate is responsible for their own equipment, transportation, communications, and business expenses unless My Jewish Ads expressly agrees otherwise in writing.

The parties acknowledge that worker classification ultimately depends on applicable law and the actual nature of the relationship, not merely the terminology used in this Agreement.

5. No Authority to Bind the Company

Affiliate has no authority to:

Sign contracts on behalf of My Jewish Ads;
Make commitments on behalf of My Jewish Ads;
Modify customer agreements;
Guarantee advertising availability;
Offer unauthorized discounts;
Accept legal notices for My Jewish Ads;
Incur expenses or liabilities on behalf of My Jewish Ads; or
Represent that Affiliate is authorized to legally bind the Company.

All advertising contracts and customer transactions remain subject to final acceptance by My Jewish Ads.

6. Affiliate Links and Referral Tracking

Affiliates may be provided with a unique:

Affiliate link;
Referral URL;
Referral code;
Coupon code;
Tracking identifier; or
Affiliate account.

Affiliate must use the tracking method provided by My Jewish Ads for a sale to be automatically attributed to Affiliate.

My Jewish Ads may use third-party affiliate software or other technology to track referrals and commissions.

7. Qualifying Sales

A commission is payable only on a Qualifying Sale.

A Qualifying Sale is generally a transaction that:

Results from Affiliate's legitimate sales or referral activity;
Is properly attributed to Affiliate;
Is successfully paid;
Is not fraudulent;
Is not cancelled;
Is not refunded;
Is not charged back or disputed;
Complies with the Program rules; and
Has passed any applicable verification or holding period.

My Jewish Ads' reasonable business records will control commission calculations in the event of a tracking discrepancy.

8. Commission Rates

Affiliate will receive the commission rate communicated to Affiliate through the Affiliate dashboard, commission schedule, onboarding materials, or another written communication from My Jewish Ads.

Commission rates may vary based on:

Product;
Advertising package;
Affiliate tier;
Promotional campaign;
Sales volume;
Subscription type;
Initial transaction versus renewal; or
Special written arrangements.

My Jewish Ads may modify commission rates prospectively by providing notice through the Affiliate platform, email, Program terms, or other reasonable means.

Changes will not retroactively eliminate valid commissions already earned on Qualifying Sales unless required because of refunds, chargebacks, fraud, or Program violations.

9. Recurring Commissions

Affiliate is entitled to recurring commissions only when recurring commissions are expressly included in the commission structure assigned to Affiliate.

Unless specifically stated otherwise in writing, Affiliate should not assume that a customer's future subscription renewals will generate additional commissions.

If recurring commissions are offered, eligibility may end when:

The customer cancels;
The subscription terminates;
Payments fail;
The transaction is refunded;
The Affiliate relationship terminates, depending on the applicable commission plan; or
The applicable commission schedule provides otherwise.

10. Commission Payments

Commissions will be paid according to the payout schedule established by My Jewish Ads.

Example:

“Qualifying commissions are paid monthly after expiration of a 30-day verification period.”

Affiliate must provide any required:

Payment information;
Banking information;
Tax documentation; and
Identity verification

before payment may be issued.

My Jewish Ads may reasonably delay payment while investigating suspected fraud, duplicate attribution, refunds, payment disputes, tracking irregularities, or violations of this Agreement.

11. Refunds, Cancellations and Chargebacks

Affiliate does not earn commission on:

Refunded sales;
Cancelled sales;
Fraudulent transactions;
Failed payments;
Chargebacks;
Payment disputes; or
Transactions later determined to be ineligible.

If commission has already been paid on a transaction that is subsequently refunded, disputed, reversed, or determined to be ineligible, My Jewish Ads may deduct the corresponding amount from future commissions or request repayment.

12. Taxes

Affiliate is solely responsible for determining, reporting, filing, and paying all applicable taxes relating to commissions or other income received through the Program.

This may include applicable:

U.S. federal taxes;
State taxes;
Local taxes;
Canadian federal taxes;
Provincial or territorial taxes;
GST/HST obligations where applicable; and
Other applicable tax obligations.

U.S. Affiliates may be required to provide a completed Form W-9 or other appropriate documentation. The IRS states that businesses paying independent contractors generally obtain Form W-9 from the contractor and may have nonemployee-compensation reporting obligations.

Canadian or other non-U.S. Affiliates may be required to provide a Form W-8BEN, W-8BEN-E, or other applicable U.S. tax documentation, depending on their individual circumstances.

My Jewish Ads may withhold taxes or report payments where required by applicable law.

Affiliate is responsible for obtaining their own tax advice.

13. Advertising Packages and Availability

Affiliate may promote advertising packages that My Jewish Ads has designated as eligible for Affiliate sales.

Restaurant participation, device inventory, advertising availability, pricing, packages, cities, locations, campaign specifications, and advertising capacity may change.

Affiliate must not guarantee that a particular:

Restaurant;
Device;
Display;
Location;
City;
Advertising slot;
Category; or
Campaign placement

will be available until confirmed by My Jewish Ads.

14. Sales Conduct

Affiliate agrees to conduct sales activities professionally, lawfully, and honestly.

Affiliate must not:

Make false or misleading statements;
Misrepresent the Company;
Misrepresent restaurant participation;
Misrepresent pricing or packages;
Make unsupported advertising-performance claims;
Guarantee a specific number of customers or sales;
Guarantee customer traffic;
Guarantee return on investment;
Guarantee impressions unless the Company has expressly authorized the representation;
Misrepresent Affiliate's relationship with the Company;
Pressure, harass, threaten, or deceive prospective customers;
Make unauthorized commitments on behalf of My Jewish Ads; or
Engage in unlawful or deceptive sales practices.

15. No Performance Guarantees

Advertising results vary.

Unless expressly authorized in writing by My Jewish Ads, Affiliate may not guarantee:

Sales;
Revenue;
Leads;
Customer traffic;
Website visits;
Conversions;
Brand recognition;
Return on investment;
Specific impression counts; or
Other advertising results.

Affiliate may use Company-approved statistics and marketing claims only in the context authorized by My Jewish Ads.

16. Approved Marketing Materials

Affiliate may use Company-approved:

Logos;
Images;
Videos;
Presentations;
Product descriptions;
Pricing materials;
Advertisements;
Sales materials; and
Promotional content.

Affiliate may create their own promotional material only if the material:

Accurately represents My Jewish Ads;
Does not contain misleading claims;
Does not alter approved pricing without authorization;
Does not imply unauthorized guarantees;
Does not infringe third-party rights; and
Complies with applicable advertising laws.

My Jewish Ads may require Affiliate to modify or discontinue promotional content that violates this Agreement or inaccurately represents the Company.

17. Affiliate Disclosure Requirements

Affiliate must clearly disclose their financial or Affiliate relationship with My Jewish Ads whenever disclosure is required by applicable law.

For example:

“I may earn a commission if you purchase through my referral link.”

In the United States, Affiliates are responsible for complying with applicable Federal Trade Commission advertising and endorsement requirements.

In Canada, material connections such as receiving commissions should also be clearly disclosed. Canada's Competition Bureau specifically identifies commission payments as a type of material connection that should be disclosed.

Affiliate disclosures should be clear, visible, and understandable to the intended audience.

18. Email, SMS and Electronic Marketing

Affiliate is solely responsible for ensuring that email, text messaging, social-media messaging, direct messaging, and other electronic marketing activities comply with applicable law.

For communications sent to or received by persons in Canada, Affiliate must comply with Canada's Anti-Spam Legislation (“CASL”) where applicable.

CASL generally requires commercial electronic messages to satisfy requirements concerning consent, sender identification, and unsubscribe mechanisms. The CRTC also specifically notes that businesses using affiliate marketing networks should ensure affiliates sending messages on their behalf comply with CASL.

For communications involving U.S. recipients, Affiliate must comply with applicable federal and state laws governing commercial email, text messaging, telemarketing, privacy, and advertising.

Affiliate may not engage in unlawful spam or unauthorized mass messaging.

19. Telemarketing

Affiliate is responsible for complying with applicable telemarketing and Do-Not-Call requirements in any jurisdiction where Affiliate makes sales calls.

This includes applicable U.S. federal and state requirements and Canadian telemarketing rules.

Affiliate must honor valid requests from individuals who do not wish to receive further sales communications.

20. Social Media Marketing

Affiliates may promote My Jewish Ads through social media provided the Affiliate complies with:

Applicable platform rules;
Advertising disclosure laws;
Trademark requirements;
This Agreement; and
Company marketing policies.

Affiliate must not create an account, page, domain, or social-media profile designed to falsely appear to be an official My Jewish Ads account.

21. Paid Advertising and Search Marketing

Unless expressly approved by My Jewish Ads, Affiliate may not purchase advertising using Company trademarks or confusingly similar terms in a manner that competes directly with official Company advertising.

Affiliate may not falsely represent that a paid advertisement is an official My Jewish Ads advertisement.

My Jewish Ads may establish additional paid-advertising rules for Affiliates.

22. Discounts and Promotions

Affiliate may offer only discounts, promotional codes, credits, bonuses, or special pricing approved by My Jewish Ads.

Affiliate may not independently:

Reduce Company prices;
Promise refunds;
Provide unauthorized free advertising;
Offer unauthorized credits; or
Create unofficial discount codes.

23. Category Exclusivity

Affiliate may not promise category exclusivity unless exclusivity has been expressly approved by My Jewish Ads.

Any exclusivity arrangement must be reflected in the advertiser's applicable package, order, or written confirmation.

24. Customer Payments

Unless specifically authorized in writing, Affiliate should not directly collect advertising payments on behalf of My Jewish Ads.

Customers should complete payment through payment methods or checkout systems authorized by My Jewish Ads.

Affiliate must not request or store customers' credit-card information on behalf of the Company unless expressly authorized and legally permitted.

25. Customer Relationship

Customers referred by Affiliate who purchase services from My Jewish Ads become customers of My Jewish Ads.

Affiliate does not acquire ownership rights in:

Customer accounts;
Customer subscriptions;
Customer payment information;
Advertising contracts;
Customer data; or
Company records

merely because Affiliate introduced or referred the customer.

26. Customer Information and Privacy

Affiliate may use prospective-customer or customer information only for legitimate and lawful sales activities.

Affiliate must take reasonable measures to protect personal information and may not:

Sell customer information;
Share customer information without authorization;
Use customer information for unrelated purposes;
Retain sensitive information unnecessarily; or
Engage in conduct violating applicable privacy laws.

Affiliate is independently responsible for complying with privacy laws applicable to Affiliate's activities.

27. Intellectual Property

My Jewish Ads and its licensors retain all ownership rights in Company:

Names;
Trademarks;
Service marks;
Logos;
Advertising materials;
Graphics;
Photographs;
Videos;
Websites;
Software;
Technology;
Marketing materials; and
Other intellectual property.

Affiliate receives a limited, non-exclusive, non-transferable, revocable license to use approved Company materials solely for legitimate participation in the Program.

This license ends when Affiliate's participation in the Program ends.

28. Confidentiality

Affiliate may receive confidential or non-public information concerning:

Pricing;
Customers;
Restaurant partners;
Business relationships;
Affiliate commissions;
Sales strategies;
Technology;
Campaigns;
Product development;
Future locations;
Financial information; or
Business operations.

Affiliate agrees not to disclose or misuse confidential information except as reasonably necessary to perform authorized Affiliate activities.

This confidentiality obligation survives termination of this Agreement.

29. Fraud and Program Abuse

Affiliate may not manipulate or abuse the Program.

Prohibited activities include:

Fake customer accounts;
Fraudulent purchases;
Artificial referrals;
Unauthorized self-referrals;
Cookie stuffing;
Manipulation of tracking technology;
False identities;
Duplicate accounts intended to obtain additional commissions;
Misrepresenting referral sources;
Unauthorized use of another Affiliate's tracking information; or
Coordinating artificial transactions solely to generate commissions.

Suspected abuse may result in investigation, commission withholding, account suspension, or termination.

30. Self-Referrals

Unless specifically authorized by My Jewish Ads, Affiliate may not earn commission by purchasing Company products or services through Affiliate's own referral link for Affiliate's own use.

Transactions involving businesses owned or controlled by Affiliate may be reviewed before commission eligibility is determined.

31. Affiliate Dashboard and Records

Affiliate may receive access to an online dashboard showing information such as:

Clicks;
Referrals;
Sales;
Commission status;
Payments; and
Account activity.

Dashboard information may change because of refunds, chargebacks, tracking adjustments, corrections, or transaction reviews.

My Jewish Ads' business and payment records will control in the event of a reasonable discrepancy.

32. No Guarantee of Earnings

Participation in the Affiliate Program does not guarantee income.

Affiliate's earnings may depend upon numerous factors, including:

Affiliate's sales efforts;
Number of customers referred;
Customer purchasing decisions;
Package selected;
Refunds;
Cancellations;
Subscription renewals; and
Program commission structure.

My Jewish Ads makes no promise or guarantee regarding how much an Affiliate will earn.

33. Expenses

Unless My Jewish Ads specifically agrees otherwise in writing, Affiliate is responsible for all expenses associated with participation in the Program.

This may include:

Transportation;
Internet;
Telephone;
Advertising;
Software;
Office supplies;
Business registrations; and
Other operating expenses.

34. Program Changes

My Jewish Ads may reasonably modify the Program from time to time.

Changes may include:

Commission rates;
Packages;
Products;
Referral tracking;
Payout timing;
Eligibility;
Marketing rules;
Restaurant availability;
Affiliate tiers; and
Program policies.

Material changes will generally apply prospectively and may be communicated electronically.

Continued participation after the effective date of revised terms constitutes acceptance of those terms to the extent permitted by law.

35. Suspension

My Jewish Ads may temporarily suspend Affiliate's account while investigating suspected:

Fraud;
Chargebacks;
Program abuse;
Customer complaints;
Illegal marketing;
Misrepresentation;
Tracking manipulation; or
Violations of this Agreement.

Commissions reasonably related to the investigation may be temporarily withheld until the investigation is completed.

36. Termination

Either Affiliate or My Jewish Ads may terminate participation in the Program at any time by providing reasonable notice.

My Jewish Ads may immediately suspend or terminate Affiliate for material violations including:

Fraud;
Illegal conduct;
Unauthorized representations;
Customer harassment;
Misuse of Company branding;
Unauthorized discounts;
Misrepresentation of advertising availability;
Misuse of confidential information;
Tracking manipulation;
Repeated customer complaints; or
Other material violations of this Agreement.

37. Commissions After Termination

Unless the termination results from fraud or material Program abuse, legitimate commissions earned from Qualifying Sales before termination will generally remain eligible for payment after applicable refund, verification, and chargeback periods.

Termination does not automatically create a right to commissions on transactions occurring after termination.

Any recurring commission rights following termination will be determined by the applicable commission plan.

38. Representations and Warranties

Affiliate represents and warrants that:

Affiliate has authority to enter this Agreement;
Information provided to My Jewish Ads is accurate;
Affiliate will comply with applicable law;
Affiliate will not knowingly make false statements about My Jewish Ads;
Affiliate's marketing materials will not knowingly infringe another party's rights; and
Affiliate will comply with this Agreement.

39. Disclaimer of Warranties

To the maximum extent permitted by law, the Program is provided on an “as is” and “as available” basis.

My Jewish Ads does not guarantee:

Uninterrupted Affiliate-platform availability;
Error-free referral tracking;
A specific number of leads;
A specific number of sales;
Continued availability of any restaurant;
Advertising campaign results; or
Affiliate income.

Nothing in this Agreement excludes warranties or rights that cannot legally be excluded under applicable law.

40. Limitation of Liability

To the maximum extent permitted by applicable law, My Jewish Ads will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to Affiliate's participation in the Program.

This includes, where legally permitted:

Lost profits;
Lost business opportunities;
Lost anticipated commissions;
Loss of data; or
Reputational harm.

Except where prohibited by law, My Jewish Ads' aggregate liability arising from the Affiliate Program will not exceed the commissions actually paid or payable to Affiliate during the six months immediately preceding the event giving rise to the claim.

Nothing in this section limits liability that cannot legally be limited.

41. Indemnification

To the maximum extent permitted by law, Affiliate agrees to indemnify, defend, and hold harmless My Jewish Ads and its owners, officers, directors, employees, contractors, affiliates, and representatives from third-party claims, liabilities, damages, penalties, and reasonable costs arising from Affiliate's:

Violation of this Agreement;
Fraud;
False or misleading marketing;
Unauthorized representations;
Illegal email, SMS, or telemarketing;
Privacy violations;
Intellectual-property infringement;
Negligence; or
Willful misconduct.

42. Governing Law

This Agreement will be governed by and interpreted under the laws of the State of Florida, United States, without regard to conflict-of-law principles.

However, this choice of law does not eliminate rights or obligations under mandatory federal, state, provincial, territorial, or national laws that cannot legally be waived.

43. Venue and Jurisdiction

Subject to any mandatory law that provides otherwise, legal proceedings arising from this Agreement shall be brought in the appropriate state or federal courts located in [INSERT FLORIDA COUNTY], Florida.

Affiliate consents to the personal jurisdiction of those courts to the extent legally permitted.

For your company, I would ordinarily use the Florida county where the company maintains its principal business office.

44. Good-Faith Dispute Resolution

Before commencing formal legal proceedings, the parties agree to make a reasonable good-faith effort to resolve disputes informally.

A party asserting a dispute should provide written notice describing the issue and allow the other party a reasonable opportunity to respond.

45. Assignment

Affiliate may not transfer or assign Affiliate's rights or obligations under this Agreement without prior written consent from My Jewish Ads.

My Jewish Ads may assign this Agreement in connection with a merger, acquisition, reorganization, sale of substantially all business assets, or similar business transaction.

46. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will remain in effect.

47. Waiver

Failure by My Jewish Ads to enforce a provision of this Agreement on one occasion does not waive the Company's right to enforce that provision in the future.

48. Survival

Provisions that by their nature are intended to continue after termination will survive termination, including provisions concerning:

Confidentiality;
Intellectual property;
Taxes;
Payment obligations;
Indemnification;
Limitations of liability;
Dispute resolution; and
Governing law.

49. Electronic Communications

Affiliate agrees that notices, agreements, disclosures, commission statements, Program changes, and other communications may be provided electronically.

Electronic communications may be delivered through:

Email;
Affiliate dashboard;
Website;
Electronic-signature platform; or
Other electronic means reasonably designated by My Jewish Ads.

50. Electronic Acceptance

Electronic acceptance of this Agreement has the same force and effect as a handwritten signature to the extent permitted by applicable law.

By checking an acceptance box, clicking an “Agree” button, submitting an Affiliate application, or otherwise affirmatively accepting this Agreement, Affiliate confirms that Affiliate:

Has read the Agreement;
Understands the Agreement;
Has had an opportunity to seek independent legal or tax advice;
Agrees to comply with the Agreement; and
Intends to be legally bound by it.

51. Entire Agreement

This Agreement, together with the applicable:

Commission schedule;
Affiliate dashboard terms;
Program policies;
Privacy policy; and
Other written terms expressly incorporated into this Agreement

constitutes the agreement between Affiliate and My Jewish Ads concerning participation in the Affiliate Program.

It supersedes prior oral or written discussions concerning the same subject matter.
