Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is entered into by and between Overture 3D Technologies LLC. ("Company") and the affiliate ("Affiliate").

1. Enrollment

By completing the application process, the Affiliate agrees to participate in the Company's affiliate program ("Program"). The Company reserves the right to accept or reject any application at its sole discretion.

2. Affiliate Obligations

The Affiliate agrees to:

• Promote the Company’s products/services through the unique affiliate link provided.
• Ensure that all promotional content complies with applicable laws and regulations.
• Not engage in any misleading, deceptive, or unethical practices in promoting the Company’s products/services.

3. Compensation

• The Company will pay the Affiliate a commission of 6% on all sales generated through the Affiliate’s unique link.
• Commission tiers reset on the 1st of each month. All affiliates start at Tier 1 (6%)
• Payments will be made on a monthly basis, subject to a minimum payout threshold of $50.
• The Company reserves the right to modify the commission structure with prior notice to the Affiliate.

4. Term and Termination

• This Agreement will commence on the date indicated above and will continue until terminated by either party.
• Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
• To keep your affiliate account active, there must be at least some activity (sales or engagement) within 2 months. If there is no activity during that time, your account will be marked as inactive.

5. Intellectual Property

• The Company grants the Affiliate a non-exclusive, non-transferable license to use the Company's trademarks, logos, and marketing materials for the duration of this Agreement, solely for the purpose of promoting the Company’s products/services.

6. Limitation of Liability

• To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the Affiliate’s participation in the Program.

7. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of the Country.

8. Amendments

• The Company reserves the right to modify this Agreement at any time. The Affiliate will be notified of any changes, and continued participation in the Program constitutes acceptance of the modifications.

9. Entire Agreement

• This Agreement represents the entire understanding between the parties and supersedes all prior discussions or agreements.
