This Affiliate Program Agreement ("Agreement") is made between Da Vinci Arts Pty Ltd ("Company," "We," "Our," or "Us"), the owner and operator of Da Vinci Arts (href@@http://www.davinciarts.com.au@@_blank@@www.davinciarts.com.au@@href), and the individual or entity applying to become an affiliate ("Affiliate," "You," or "Your").

By participating in the Da Vinci Arts Affiliate Program, You agree to the terms and conditions set forth in this Agreement.

1. Eligibility for the Program

To be eligible for the Da Vinci Arts Affiliate Program, You must:

• Be 18 years or older.
• Have a valid, functioning website, blog, or social media platform that complies with applicable laws and regulations.
• Not engage in illegal or unethical marketing practices, including spam or false advertising.
• Submit a valid and complete application that is approved by Da Vinci Arts.

We reserve the right to reject any application at Our discretion and may terminate Your participation in the program for any reason, including non-compliance with this Agreement.

2. Affiliate Links and Promotions

As an approved Affiliate, You will be provided with unique affiliate links to promote Da Vinci Arts products. These links track referrals made through Your marketing efforts.

You agree to:

• Only use the affiliate links We provide for promotional purposes.
• Ensure that Your marketing complies with all applicable laws, including but not limited to privacy laws, intellectual property laws, and advertising standards.
• Not engage in fraudulent activities, such as misrepresenting the product, using misleading affiliate links, or placing links in inappropriate places.

Here’s how to incorporate the commission tier categories into the agreement under the Commissions and Payouts section:

3. Commissions and Payouts

Affiliates will earn a commission based on 7.5% of the total sales before GST or any applicable taxes made through their affiliate links. To further reward top performers, Da Vinci Arts has established commission tiers based on total sales generated.

Commission Rate:

• Tier 1: 9.00% on total sales up to $1,000 AUD.
• Tier 2: 9.5% on total sales between $1,000 and $10,000 AUD.
• Tier 3: 9.9% on total sales above $25,000 AUD.

The tiered commission structure encourages affiliates to increase their sales, unlocking higher earnings as they hit specific milestones.

Payment Terms: Commissions will be paid weekly via PayPal or bank transfer, provided the minimum payout threshold of 100 AUD is met.

Payment Schedule: Payments will be processed on or about the end of each week.

4. Cookie Duration

Da Vinci Arts tracks referrals using cookies. The standard cookie duration is [Insert Duration], meaning You will receive commission for any customer who completes a purchase within [Duration] days of clicking on Your affiliate link.

5. Taxes

You are responsible for any taxes associated with Your earnings from the Affiliate Program. Da Vinci Arts will not withhold or pay any taxes on Your behalf.

6. Intellectual Property

Da Vinci Arts grants You a limited, non-exclusive, revocable right to use Our logos, trademarks, and banners solely for the purpose of promoting Our products as part of the Affiliate Program. All such materials must comply with Our brand guidelines and be used in a professional manner.

You may not:

• Alter Our logos or trademarks in any way.
• Use Our logos or trademarks in any way that implies endorsement or partnership beyond the Affiliate Program.

7. Prohibited Activities

You agree not to:

• Promote Da Vinci Arts through paid advertisements without prior approval.
• Use affiliate links in spam emails, comments, or any form of unsolicited communication.
• Engage in any deceptive, unethical, or illegal marketing tactics.
• Use Your affiliate link to make purchases for personal use.

8. Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

Upon termination:

• You must remove all Da Vinci Arts affiliate links from Your website or marketing materials.
• You will forfeit any commissions earned if We determine that You have violated the terms of this Agreement.

9. Limitation of Liability

Da Vinci Arts will not be liable for any indirect, incidental, or consequential damages (including loss of revenue, profits, or data) arising from Your participation in the Affiliate Program.

10. Modification

Da Vinci Arts reserves the right to modify or update this Agreement at any time. You will be notified of any significant changes via email or through Your affiliate account. Continued participation in the program after such changes constitutes Your acceptance of the updated Agreement.

11. Confidentiality

All confidential information provided to You in connection with the Affiliate Program, including commissions, pricing, and customer information, must remain confidential and not disclosed to any third parties.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law principles. Any legal action or proceeding relating to this Agreement shall be brought exclusively in the courts of Australia.

13. Entire Agreement

This Agreement constitutes the entire understanding between You and Da Vinci Arts concerning the Affiliate Program and supersedes all prior agreements or understandings, whether written or oral.

If You agree to the terms of this Agreement, You may apply for the Da Vinci Arts Affiliate Program.

By applying, You acknowledge that You have read, understood, and agree to the terms of this Affiliate Program Agreement.
