Welcome to the Cradlewise Affiliate/Ambassador Program ("Program"). By applying to participate in the Program, you are entering into a legally binding agreement with Cradlewise Inc. ("Cradlewise"). Please read these terms and conditions carefully, as they govern your participation in the Program. By submitting your application or continuing your participation in the Program, you agree to be bound by these Terms & Conditions ("Agreement").

1. Definitions

• Affiliate/Ambassador: A person who has been accepted by Cradlewise to promote Cradlewise products via approved social media channels or other platforms.
• Affiliate/Ambassador Account: Any social media account or platform identified in the Affiliate/Ambassador’s application and approved by Cradlewise.
• Approved Media: Social media outlets or platforms approved by Cradlewise for promotional activities, including but not limited to Facebook, Instagram, Twitter, TikTok, and YouTube.
• Promotional Activities: The advertising, marketing, and promotion of Cradlewise products by the Affiliate/Ambassador on an approved media platform.

2. Program Scope

Upon acceptance as an Affiliate/Ambassador, you agree to actively promote Cradlewise products as per the guidelines provided. Your participation in the Program is subject to your compliance with this Agreement, the Cradlewise Terms of Use, Privacy Policy, and any additional guidelines or instructions provided by Cradlewise.

3. Application for Enrollment

To become an Affiliate/Ambassador, you must complete and submit the online application form. Cradlewise reserves the right to accept or reject any application at its sole discretion, without providing a reason for the decision.

4. Eligibility Criteria

To participate in the Program, you must:

• Be at least 18 years of age.
• Reside in United States of America.
• Have active social media accounts with a substantial follower base, subject to Cradlewise’s discretion.

5. Compliance

You agree to comply with all applicable laws, regulations, and guidelines, including but not limited to the Federal Trade Commission (FTC) guidelines on endorsements and testimonials. You must not engage in any fraudulent or deceptive practices, including the purchase of followers or likes, or any activity that manipulates social media metrics.

6. Affiliate/Ambassador Portal

Upon acceptance into the Program, you will gain access to the Cradlewise Affiliate/Ambassador portal ("Portal"). You are responsible for keeping your login credentials secure and for maintaining the accuracy of your information in the Portal.

7. Promotional Activities

As an Affiliate/Ambassador, you agree to:

• Regularly post content promoting Cradlewise products on approved media platforms.
• Share your unique discount code with your followers to encourage purchases.
• Engage with your audience to promote Cradlewise in a positive, truthful manner.

8. Content and Intellectual Property

All content created as part of your promotional activities is the exclusive property of Cradlewise. By participating in the Program, you grant Cradlewise a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and distribute your content for promotional purposes.

9. Prohibited Activities

The following actions are strictly prohibited:

• If your unique discount code are found on coupon websites, regardless of whether you posted them or not, Cradlewise reserves the right to withhold or deny any payments due to you.
• Misrepresenting your relationship with Cradlewise.
• Engaging in spamming, fraudulent activities, or any other actions that could harm Cradlewise’s reputation.

10. Monitoring and Content Removal

Cradlewise reserves the right to monitor your promotional activities and request the removal or modification of content that does not comply with this Agreement. Failure to comply with such requests may result in termination from the Program.

11. Termination

Cradlewise may terminate your participation in the Program at any time, with or without cause, upon written notice. Upon termination, you must immediately cease all promotional activities related to Cradlewise and remove any references to Cradlewise from your platforms.

12. Payment and Commission

As a Cradlewise Affiliate/Ambassador, you may be eligible to earn commissions on qualifying sales generated through your unique discount code/link.

• Commissions will be calculated on a per-sale basis as communicated to you during onboarding, excluding shipping, taxes, refunds, cancellations, and other deductions.
• To be eligible for payout, the order must satisfy the following conditions:
• (1) the order must be in a fulfilled state, and
• (2) the order must have been completed and not returned or canceled for at least 50 days.

13. Confidential Information

You may be entrusted with confidential information related to Cradlewise, including but not limited to business plans, marketing strategies, and product details. You agree to keep all such information confidential and not to disclose it to any third party.

14. Indemnification

You agree to indemnify and hold harmless Cradlewise and its affiliates from any claims, damages, or liabilities arising from your participation in the Program or your breach of this Agreement.

15. Limitation of Liability

Cradlewise will not be liable for any indirect, incidental, consequential, or exemplary damages arising from your participation in the Program. Cradlewise’s total liability to you for any claims arising from this Agreement will not exceed the total amount paid to you in the preceding six months.

16. Modification of Terms

Cradlewise reserves the right to modify these Terms & Conditions at any time. Any changes will be communicated to you, and your continued participation in the Program will constitute your acceptance of the revised terms.

17. Independent Contractor

Your participation in the Program does not create an employer-employee relationship with Cradlewise. You are considered an independent contractor and are responsible for your own taxes, insurance, and other liabilities.

18. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Acknowledgment

By submitting your application and participating in the Cradlewise Affiliate/Ambassador Program, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
