Terms of Use and Privacy Statement

Yourcatneeds.com Affiliate Program Terms of Service Agreement
Effective Date: November 11, 2023

1. Parties
This Affiliate Program Terms of Service Agreement (the "Agreement") is entered into between Meow Digital Inc. ("Company"), having its principal place of business at 700 West Pender Street, Suite 1290, Vancouver, BC V6C 1G8, and you, the affiliate ("Affiliate"), collectively referred to as the "Parties."

2. Definitions
- "Website" refers to Yourcatneeds.com, operated by Meow Digital Inc.- "Affiliate Program" refers to the program through which Affiliate promotes Company's products and services in exchange for commissions.

3. Commission Structure

3.1 Affiliate Commissions: Affiliate shall earn a commission on sales generated through their affiliate links. The commission rate is as follows:- 40% of the total sale amount for Affiliate's own sales.- 10% of the total sale amount for sales generated by referred affiliates for the lifetime of those affiliates.

3.2 Commission Payment: Commissions will be calculated based on valid sales generated. Commissions are paid out only on actual sales, and any commissions earned from orders that are later canceled, charged back, returned, or refunded will be deducted from Affiliate's account.  Affiliates will not receive commissions on their own purchases.

4. Creatives
Affiliates may use approved creatives, including banners, text links, and promotional materials, provided by the Company. These materials can be accessed from our Google drive.

5. Payment Terms

5.1 Minimum Payout: Affiliate may request a payout when their earned commissions reach a minimum of $20.

5.2 Payment Methods: Payments may be requested daily and will be made through Payoneer or Wise, as selected by the Affiliate.

6. Prohibited Activities
Affiliate shall not engage in the following activities to promote the Company and its products/services:
- Using incentivized traffic sources.- Promoting on adult, gambling, streaming, cashback, torrents, or toolbar websites.
Traffic generated from incentivized sources or prohibited websites will not be eligible for commissions.

7. Intellectual Property

7.1 Ownership: All intellectual property rights, including Company's name, logos, marks, and promotional materials ("Materials"), are owned by the Company.

7.2 Usage: Affiliate may use Materials as necessary to promote Company's products and services, subject to Company's review and approval. Any usage of Materials for other purposes requires prior written consent from the Company.

8. Indemnification

Affiliate agrees to indemnify and hold harmless Meow Digital Inc., its affiliates, officers, employees, and representatives from any losses, claims, damages, costs, or expenses arising from:

- Breach of representations, warranties, obligations, or covenants by the Affiliate.- Negligent or willful acts or omissions by the Affiliate.- Infringement of Company's intellectual property rights by the Affiliate.

9. Confidentiality

Affiliate agrees to maintain the confidentiality of any information provided by the Company, including business affairs, intellectual property, and client lists ("Confidential Information"). Affiliate may only use Confidential Information for the purpose of the Campaign and shall not disclose it to third parties without written consent.

10. Termination

The Company reserves the right to reject Affiliate applications and terminate Affiliate participation in the Program at its sole discretion. Leads introduced to the Company through the Affiliate may continue to be marketed by the Company after termination.

11. Payments, Expenses, and Taxes

Affiliate will be paid commissions based on valid sales. Payments will be made through the selected payment method, Wise or Payoneer once the minimum $20 earnings has been met. Affiliate is responsible for bearing any applicable taxes related to payments received from the Company.

12. Anti-Spam Policy

Affiliate must comply with the federal CAN-SPAM Act of 2003 and include opt-out links in all promotional emails. The Company may review and approve emails before transmission. Compliance with the Act remains Affiliate's responsibility.

13. Fraud

Affiliate is prohibited from engaging in fraudulent activities, including but not limited to automated clicks, generating multiple clicks, or other deceptive acts. The Company reserves the right to reverse pending transactions and terminate the partnership in case of fraudulent activity.

14. Governing Law

This Agreement is governed by the laws of the Province of British Columbia, Canada without regard to conflicts-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the Provincial courts in Vancouver, BC Canada.

15. Miscellaneous

This Agreement does not create an employer-employee or partnership relationship between the Parties. Affiliate may not assign its rights or responsibilities under this Agreement.

This Agreement represents the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements and understandings.

By applying to the Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
